Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Ceerion's website, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Ceerion reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

Use of Services

Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using the Services, you represent and warrant that you meet these requirements.

Account Registration

To access certain features (such as vehicle reservations or IoT dashboard), you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

Prohibited Uses

You agree not to:

• Use the Services for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the operation of the Services
• Transmit viruses, malware, or other harmful code
• Harvest or collect information about other users without permission
• Impersonate any person or entity or misrepresent your affiliation

Vehicle Purchase and Reservations

Reservation Process

When you reserve a Ceerion vehicle online:

• A $500 refundable deposit is required to secure your reservation
• Reservations do not constitute a binding purchase agreement
• Final pricing, specifications, and delivery dates will be confirmed before purchase
• You may cancel your reservation and receive a full refund before finalizing purchase
• Delivery timelines are estimates and subject to change

Purchase Agreement

Final vehicle purchases are subject to a separate Purchase Agreement that will specify pricing, specifications, payment terms, delivery schedule, and warranty coverage. The Purchase Agreement supersedes any information provided during the reservation process.

Pricing and Payment

All prices are subject to change until a Purchase Agreement is signed. Payment terms vary by region and may include:

• Full payment at delivery
• Financing through approved partners
• Fleet purchase programs with custom terms

Warranty and Service

Limited Warranty

Ceerion vehicles come with the following warranties:

• Vehicle Warranty: 3 years or 60,000km (whichever comes first)
• Battery Warranty: 5 years or 100,000km with 70% capacity guarantee
• Powertrain Warranty: 5 years or 100,000km

Warranty coverage details, exclusions, and claim procedures are provided in your vehicle's warranty documentation. Warranty service must be performed at authorized service centers.

Maintenance Requirements

To maintain warranty coverage, you must follow the recommended maintenance schedule outlined in your owner's manual. Failure to perform required maintenance may void warranty claims.

IoT Platform and Data

Connected Services

Ceerion vehicles include IoT connectivity for diagnostics, over-the-air updates, and vehicle tracking. By using these services, you consent to the collection and transmission of vehicle telemetry data as described in our Privacy Policy.

Software Updates

Your vehicle will receive over-the-air software updates automatically. While we test updates thoroughly, we cannot guarantee that updates will not affect vehicle performance. You may delay or decline non-critical updates, but safety-related updates may be installed automatically.

Service Availability

IoT services require cellular connectivity, which may not be available in all areas. Ceerion is not responsible for service interruptions due to network coverage, carrier issues, or other factors beyond our control.

Intellectual Property

All content on the Ceerion website and Services, including text, graphics, logos, images, software, and design elements, are the property of Ceerion or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without explicit written permission.

Limitation of Liability

To the fullest extent permitted by law, Ceerion shall not be liable for:

• Indirect, incidental, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions, delays, or errors
• Third-party actions or content

Our total liability for any claims arising from these Terms or the Services shall not exceed the amount you paid to Ceerion in the 12 months preceding the claim.

Disclaimer of Warranties

The Services and website are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. Ceerion does not warrant that:

• The Services will be uninterrupted, secure, or error-free
• Information provided is accurate, complete, or current
• Defects will be corrected
• The Services are free from viruses or harmful components

Indemnification

You agree to indemnify and hold harmless Ceerion, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of [Jurisdiction], without regard to conflict of law principles.

Arbitration

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms without our prior written consent. Ceerion may assign these Terms at any time without notice.
